Terms of Service

These Terms of Service ("Terms") form a binding agreement between you and SHIFTGRID LTD ("SHIFTGRID," "we," "us," or "our") governing your access to and use of our website, content, and related services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

You must be at least 18 years old and capable of forming a legally binding contract to use the Services. If you are using the Services on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

Any consulting, software development, cloud, AI, or other professional services provided by SHIFTGRID to a client are governed by a separately executed written agreement (such as a Master Services Agreement, Statement of Work, or order form). In the event of a conflict between these Terms and a signed agreement, the signed agreement controls with respect to those professional services.

All content on the Services, including text, graphics, logos, images, software, and the SHIFTGRID name and marks, is owned by or licensed to SHIFTGRID and is protected by intellectual property laws. Except as expressly permitted, no portion of the Services may be copied, reproduced, distributed, or created into derivative works without our prior written consent.

If you submit information through our website (for example, via the contact form), you represent that the information is accurate and that you have the right to share it. We may use submissions to respond to your inquiry and improve our Services, subject to our Privacy Policy.

The Services may contain links to third-party websites or services that are not owned or controlled by SHIFTGRID. We are not responsible for the content, policies, or practices of any third-party sites, and your interactions with them are solely between you and the third party.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. SHIFTGRID DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SHIFTGRID AND ITS AFFILIATES, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES.

You agree to defend, indemnify, and hold harmless SHIFTGRID and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your use of the Services or violation of these Terms.

We may suspend or terminate your access to the Services at any time, with or without notice, if we believe you have violated these Terms or if we discontinue the Services. Provisions that by their nature should survive termination will survive.

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws principles. Any dispute arising out of or related to these Terms or the Services shall be resolved exclusively in the state or federal courts located in New York, and you consent to personal jurisdiction there.

We may update these Terms from time to time. Material changes will be reflected by updating the "Last updated" date above. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
